The Asia Pacific Project Preparation Facility (AP3F) is an ADB-wide project preparation capacity managed by OPPP. AP3F will help developing members to prepare a pipeline of "ready-to-finance" infrastructure investments by assisting with due diligence and helping to address impediments to investment decisions, supporting project design, and assisting with preparing, structuring, and placing the project. In order to encourage private sector involvement through promoting PPP development, a set of project screening mechanisms to (i) determine the most viable projects, and (ii) catalyze private sector investments by supporting project structuring for relevant PPP projects with regional benefits will need to be developed. ADB will procure a consultant to undertake preliminary analysis and due diligence and identify the scope of project structuring support that would be required.
This assignment will identify potential projects (pipeline development), conducting screening assessments by the project team, reviewing the feasibility studies and recommending projects to be financed through PPPs, preparing for project structuring, and supporting tendering process and document execution as required. The consultant will be responsible for establishing new client relationships and maintaining existing ones within the context of project development and implementing mandates. The consultant will cover the Developing Member Countries with a primary focus on Indonesia
The consultant is expected to: a) support OPPP project team in the finalization of the South Tangerang business case; b) assist OPPP in originating and implementing AP3F applications and TAS mandate for the West Java Waste Management project in Indonesia including coordinating with the relevant project stakeholders and acting as an interface between Ministry of Environment Japan, JICA and the OPPP team as necessary; c) coordinate the identification, examination and evaluation of the viability of potential projects for AP3F support, including those that could be delivered as PPPs, screening and recommending possible modalities and/or viable options (including major resource requirements) for ADB and other development partners to support PPP environment as well as specific project restructuring; d) where required, provide assistance to DMC agencies for preparing and delivering necessary reports and proposals (screening, recommendations for AP3F support); e) keeping in view substantial in country experience, advise the OPPP team on how to engage with the various DMC agencies for obtaining various clearances for smooth project implementation; and f) support origination and implementation of AP3F applications and transaction advisory services mandates. The contract is subject to performance evaluation review, conducted at midpoint or annually, whichever comes first. The review shall be based on achievement of assignment specific outputs on time and on budget. Any changes in stated outputs need to be approved by ADB. ADB reserves the right to terminate the contract i) if outputs are not achieved on time and at quality level acceptable to ADB; ii) services are no longer required or iii) for any other reasons in the interest of the project. Pre-termination of the contract is subject to 2-weeks notice.
The consultant should have at least 15 years of relevant professional experience in project and corporate finance including those for developing infrastructure particularly PPP transactions. Experience in structuring financial transactions in various sectors and countries with actual negotiation and coordination among stakeholders is required. The candidate should also have in-depth knowledge about PPP and financial market products, substantial due diligence capability for PPP projects, high level of knowledge about Indonesia's PPP framework and working network with Indonesia government officials for PPP. The candidate should also possess excellent oral and written communication skills in English. An MBA, or a degree in business, accounting, finance or other relevant degree with demonstrable experience in PPP project development or financial transactions is required.
