A beszerzés tárgyának meghatározása: „2020-2021. évi komplex kommunikációs feladatok ellátása a HUMDA Zrt. számára”

A műszaki leírásban részletesen meghatározott kommunikációs feladatok elvégzése legfeljebb a nettó 309 050 000,- Ft + Áfa, azaz háromszázkilencmillió-ötvenezer forint + általános forgalmi adó keretösszeg kimerüléséig. A Keretmegállapodás 18.3 pontjával összhangban a nettó keretösszeg 30 %-a, nettó 92 715 000,- Ft + Áfa, azaz kilencvenkettőmillió-hétszáztizenötezer forint + általános forgalmi adó opció.

VII.2.2)Reasons for modification

Need for modification brought about by circumstances which a diligent contracting authority/entity could not foresee (Art. 43(1)(c) of Directive 2014/23/EU, Art. 72(1)(c) of Directive 2014/24/EU, Art. 89(1)(c) of Directive 2014/25/EU)

Description of the circumstances which rendered the modification necessary and explanation of the unforeseen nature of these circumstances:

A Szerződés 7.8. pontja rögzíti, hogy a Keretösszeg legfeljebb 45%-a, azaz 139 072 500,- Ft + Áfa a Kormányrendeletben meghatározott és a Szerződés 7.8. pontjában felsorolt kommunikációs feladatok megvalósítására használható fel.

Tekintettel arra, hogy a Szerződés 7.8. pontjában meghatározott arányokra figyelemmel a médiatervezésre és vásárlásra Megrendelőnek kisebb mértékben van szüksége, ezért Megrendelő a Szerződés módosítását kezdeményezte a Szerződés 7.8. pontjában található arányok módosítása érdekében, melynek értelmében a Szerződés teljesítéséhez szükségessé vált az egyes kommunikációs szolgáltatások arányának növelése, Felek a Szerződést módosítani kívánják, a jelen szerződés-módosítás (továbbiakban: „Módosítás”) szerint.

Felek rögzítik, hogy a jelen Módosításnak a Kbt. 141. § (6) bekezdése alapján nincs akadálya, tekintettel arra, hogy a Szerződés jelen Módosítása nem minősül lényeges módosításnak az alábbiak okán:

- a Szerződés Módosítása nem határoz meg olyan lényegesen eltérő, érdemi feltételeket, melyek az eredeti szerződéses feltételektől eltérnének;

- A Szerződés a keretösszeg módosítása nélkül a Szerződés szerint teljesíthető. A Szerződés Módosítása nem határoz meg olyan feltételeket, amelyek, ha szerepeltek volna a szerződéskötést megelőző közbeszerzési eljárásban, az eredetileg részt vett ajánlattevőkön kívül más ajánlattevők részvételét vagy a nyertes ajánlat helyett másik ajánlat nyertességét lehetővé tették volna;

- Csak a Szerződés 7.8. pontjában írt feladatmegosztás aránya módosul.

- A KM07-KOMM-2019 azonosító számú Keretmegállapodásban és annak második részeként lefolytatott Kbt. 105. § (1) bekezdés c) pontja szerinti Konzultációs eljárásban a Nemzeti Kommunikációs Hivatal részéről egyetlen ajánlattevő került felhívásra, ezért nyertes ajánlattevőn (Vállalkozón) kívül más ajánlattevőknek az eljárásban történő részvétele, vagy nyertessége kizárt volt.

- a Szerződés Módosítása a Szerződés gazdasági egyensúlyát a nyertes ajánlattevő javára nem változtatja meg;

A Szerződés ellenértékét vagy a teljesítendő szolgáltatások körét jelen módosítás nem érinti.

- a Szerződés Módosítása a Szerződés tárgyát az eredeti Szerződésben foglalt ajánlattevői kötelezettséghez képest jelentős új elemre nem terjeszti ki, a Szerződés nem egészül ki annak jellegétől eltérő új feladattal.
